Governance Coordinator

The Nelson Mandela Foundation is looking for a new Governance Coordinator.

The purpose of this position is to proactively coordinate, support and facilitate the seamless delivery of governance activities delivered by the Governance and IP unit. 

Responsibilities:

  • Maintenance of statutory records and filing of returns to CIPC and TEU 
  • Coordination and collation of meeting papers for sub-committees and board meetings 
  • Minute taking and management of board meetings
  • Assist the board’s chairperson in meetings and guide as to the law of meetings 
  • Day-to-day administration duties 
  • Plan and coordinate the Governance and IP unit calendar  
  • Lead the process with the drafting of resolutions and liaison with board members to obtain signatures
  • Maintain an excellent institutional governance record by ensuring all minutes and resolutions are signed and available for inspection. 
  • Manage the corporate governance processes, review compliance gaps, and provide an analysis to assist the organisation.
  • Arrange for and coordinate non-routine company secretarial functions such as the formation of companies, take on of companies, deregister and liquidate companies
  • Provide support and advice to management on their duties and responsibilities concerning best practice in corporate governance
  • Manage the trustee induction programme for new trustees
  • Ad hoc duties and project work from time to time 
  • Manage trust administration and guide concerning setting up of trusts and governance for trustees;
  • Prepare submissions to regulators and assessment bodies  
  • Influence executives and staff around doing the right thing to inculcate ethical governance practices
  • Create, develop and maintain effective working relationships with colleagues and external partners

Requirements:

  • A three-year degree/diploma
  • Law background preferred, paralegal experience advantageous
  • Minimum of three to five years’ experience with a proven track record in a similar capacity
  • Strong analytical skills with solid writing ability 
  • Computer skills (Excel, Word, PowerPoint)
  • Have a proactive approach to problem-solving
  • Organisational and planning skills with the ability to manage time and work effectively
  • Strong people skills with the ability to work under pressure
  • Motivated, confident communicator with the ability to engage with people at all levels
  • Pays attention to detail and displays a high level of integrity
  • Ability to multi-task and is deadline-driven
  • Ability to work independently as well as in a team
  • Interpersonal skills with the ability to work across diverse cultural backgrounds
